Every signed contract is a set of promises — promises to report, to pay, to perform, to comply. But those promises are buried in dense legal language across dozens or hundreds of documents. Without a structured way to surface and track them, important obligations get missed, and missed obligations become expensive problems.

Contract Management Pro (CM Pro) solves this with a two-part capability: Obligation Management to track and fulfill commitments across your contract portfolio, and AI-powered Obligation Extraction to find and digitize those obligations automatically — without requiring your team to read every clause manually.

What Is Obligation Management?

Obligation Management in CM Pro gives you a structured home for every commitment defined in a contract. Think of it as the operational layer that turns a static legal document into an active, trackable to-do list — one that lives natively on the Now Platform alongside your other work.

Common obligations tracked in CM Pro include:

📅

Contract Expiration & Renewal Dates

Ensure critical renewal windows are never missed with proactive reminders before key dates.

💳

Invoicing & Payment Terms

Track recurring payment obligations to avoid penalties or lapses in service commitments.

📊

SLA & Performance Requirements

Monitor service-level commitments on both sides of the relationship to stay compliant.

📄

Reporting & Documentation

Manage contractual obligations to produce and deliver periodic reports to counterparties.

Each obligation can be configured as either ad-hoc (a one-time task) or recurring (on a set schedule — daily, weekly, monthly, yearly). Automatic reminders alert the right stakeholders before deadlines hit, so nothing falls through the cracks between your legal and operational teams.

The Problem Obligation Extraction Solves

Manually reviewing a contract to extract its obligations is slow, error-prone, and doesn't scale. A legal or contracts team managing hundreds of active agreements simply cannot afford to parse every document line by line to build out an obligation register.

The Reality

Research consistently shows that a significant portion of contract value leakage stems from obligations that were never tracked — not because teams didn't care, but because they never had a scalable way to find them in the first place.

This is exactly the problem that the Now Assist Obligation Extraction skill in CM Pro is designed to eliminate.

AI-Powered Obligation Extraction

The Obligation Extraction capability uses a Now Assist AI skill to read a contract document and automatically identify key obligations — then surface them for human review in a structured, easy-to-act-on interface. Here's how the end-to-end process works:

1. Admin Configures Extraction Use Cases

Admins define obligation categories and subcategories in Now Assist Admin — for example, "Operational or Service Delivery → Reporting," "Legal & Compliance," or "Intellectual Property." These use cases tell the AI what to look for and how to classify what it finds.

2. AI Scans the Contract Document

When triggered on a contract record, the Now Assist skill reads the attached document and runs extraction against the configured use cases — identifying obligations clause by clause and generating structured records with name, category, subcategory, description, schedule type, and approver group.

3. Obligations Appear in Draft State for Review

Extracted obligations land in the contract's Obligations tab in "Draft" status — clearly labeled as AI-extracted so reviewers know to verify them. Each obligation shows a full detail panel with the extracted description, the relevant contract language, and the proposed schedule.

4. Users Accept or Reject with One Click

Contract managers review the extracted obligations and accept those that are accurate. They can also edit any details before activating them. The interface makes this fast and intuitive — no legal expertise required to triage the queue.

5. Accepted Obligations Flow Into Active Management

Once accepted, obligations become active records on the contract — fully tracked, assigned, and scheduled with automatic reminders based on the configuration set during extraction.

Key Benefits

  1. Obligation coverage across your portfolio — not just the contracts that got manual attention
  2. Time spent on manual contract review — AI does the first pass, humans verify
  3. Missed renewals, SLA lapses, or reporting deadlines when reminders are active

For Contract & Legal Teams

Obligation Extraction transforms contract review from a bottleneck into a fast-lane approval process. Instead of reading full documents, teams review a structured list of AI-identified obligations and exercise judgment on what to accept. The AI does the heavy lifting; the human makes the call.

For Operations & Procurement

Active obligation tracking means operational teams always have visibility into what commitments are active, who owns them, and when they're due — without relying on calendar reminders or tribal knowledge. Recurring obligations generate tasks automatically on schedule.

For Compliance & Risk

A structured obligation register is a defensible compliance posture. When an auditor or regulator asks whether your team was tracking a specific contractual commitment, you have a timestamped record showing the obligation was identified, reviewed, accepted, and fulfilled — not just "probably in the contract somewhere."

Native to the Now Platform

Because CM Pro runs natively on ServiceNow, obligation tasks and reminders integrate directly with your organization's existing workflows — no third-party integrations, no data moving between systems, no siloed point solution to manage alongside your other platforms.

Getting Started

Obligation Management is available today in Contract Management Pro. To enable AI-powered extraction, your admin will need to configure obligation use cases in Now Assist Admin — defining the obligation categories relevant to your contract types. Once configured, extraction can be triggered directly from any contract record with an attached document.

If your organization is already using CM Pro and you haven't explored Obligation Extraction yet, it's worth a conversation with your implementation team or ServiceNow account team. The configuration is lightweight and the productivity gain for high-volume contract teams is immediate.
