Update existing record with new record

I have two records as below:

I want to update first record with below details and deactivate second record(Basically below record is merge of 2 record) :

I need to do this for bulk of records, how can i achieve this.

how are you determining records are duplicate? based on 1 field or 2 fields?

How are you deciding the final record will have field value from which record?

Hi Ankur,

Those 2 records are not duplicate, i just want to update first record with the details in excel(which is coming from external source), and i have to deactivate the second record

Coming from external source then how would you know which record to update and which one to deactivate?

How are you comparing the field and which field? Since both the records have CP-2 in Reference field but external source will send CP-2 Final?
