What is the differences between Worknotes and Watchlist
Worknotes - people added to this list will get all "Work Notes" updates. Used for internal communication (usually Requestor not included).
Watchlist - people added to this list will get all "comments" update.
Is there any other difference?

No, but that difference is pretty significant.
You can think of work notes is as you and your team discussing the technical minutia of fulfilling the task. Stuff the customer needn't know, but executors might.
Comments / Watch_list on the other hand is you discussing the work with the consumer formally.

Comments = "customer" visible.
Work Notes = "just between us workers"
"Customer" is treated differently task type to task type. Projects and Project Tasks really blurs the line. There really is no "customer" concept. That's likely why it was left off.
But since Project and Project task ultimately extend Task, they inherit the fields, whether or not they're actually used.
